1. Overview
1.1 SmartKits owns and/or lawfully controls intellectual property rights in its website content, branding and digital products, unless a specific item is stated to belong to someone else.
1.2 This Policy explains what rights SmartKits reserves, what limited use customers receive, and how copyright complaints or infringement reports should be sent to SmartKits.
2. SmartKits Intellectual Property
2.1 The following are protected and reserved to SmartKits, where applicable:
2.1.1 the SmartKits name, logos, word marks, pack names and trade dress;
2.1.2 website text, design, layout, graphics, icons, screenshots and compilations;
2.1.3 digital product files, templates, checklists, prompt packs, guides, plans, worksheets, spreadsheets and document structures;
2.1.4 the arrangement, selection and compilation of content in each pack; and
2.1.5 any updates, modifications, derivatives or new versions created by or for SmartKits.
2.2 All rights not expressly granted are reserved.
3. Copyright Position
3.1 SmartKits content is protected under applicable South African copyright law and related principles of intellectual property law.
3.2 Copyright and other rights arise automatically where protected original works are created and fixed in material form.
3.3 The purchase of a SmartKits Product does not transfer copyright or ownership to the customer.
3.4 Customers receive only the limited rights expressly granted in the EULA and Terms and Conditions.
4. Trade Marks and Brand Use
4.1 “SmartKits” and associated logos, branding elements and pack names are valuable business identifiers.
4.2 You may not use SmartKits branding:
4.2.1 in a way that suggests endorsement, partnership or authorship where none exists;
4.2.2 in product listings, template shops, marketplaces or advertisements for your own goods or services;
4.2.3 as part of a business name, social handle, domain or campaign name likely to cause confusion; or
4.2.4 in a manner that dilutes, disparages or misappropriates the SmartKits brand.
4.3 Reasonable referential use, such as truthful mention that you lawfully purchased a SmartKits Product, must still not imply affiliation or permission beyond the licence granted.
5. Permitted Use
5.1 Permitted use of SmartKits content is set out in the EULA.
5.2 In summary, customers may use purchased Products internally for lawful business purposes and may customise them within the limits of the EULA.
5.3 Customers may not resell, redistribute or republish source files or substantially similar derivative files.
6. Prohibited Intellectual Property Conduct
6.1 Without SmartKits’ prior written permission, you may not:
6.1.1 copy and republish SmartKits files as your own products;
6.1.2 upload packs to shared drives, groups, marketplaces, repositories or membership sites;
6.1.3 remove copyright or ownership notices where present;
6.1.4 reproduce or scrape large portions of the SmartKits website for commercial use;
6.1.5 create a competing template, prompt or kit library from SmartKits content;
6.1.6 use SmartKits content in a training dataset, AI database or public prompt library in a way that substitutes for the original Product; or
6.1.7 otherwise infringe SmartKits’ rights.
6.2 SmartKits reserves all civil and other remedies available under law for infringement.
7. Reporting Infringement of SmartKits Rights
7.1 If you believe that SmartKits content has been copied, shared, uploaded, sold, published or used without authority, please send a written notice to info@smartkits.co.za.
7.2 Your notice should include enough information for SmartKits to investigate properly, including:
7.2.1 your full name and contact details;
7.2.2 identification of the SmartKits work or right allegedly infringed;
7.2.3 identification of the allegedly infringing material or activity, including the relevant URL, platform, marketplace listing, file location or screenshot where possible;
7.2.4 the action you request SmartKits to take;
7.2.5 a statement that you are acting in good faith; and
7.2.6 a statement that the information provided is true and correct to the best of your knowledge.
7.3 SmartKits may request further information before acting.
8. Copyright Complaint and Takedown Procedure
8.1 SmartKits may, in its discretion, investigate complaints regarding content hosted on its website, pages or systems.
8.2 If SmartKits receives a sufficiently detailed notice alleging unlawful or infringing activity, it may:
8.2.1 review the complaint;
8.2.2 request supporting evidence;
8.2.3 temporarily remove, disable or restrict access to the material while investigating;
8.2.4 forward the complaint to the relevant user, provider or host where appropriate; and
8.2.5 take further steps it considers reasonably necessary.
8.3 SmartKits may reject incomplete, abusive, vague or bad-faith notices.
8.4 SmartKits reserves the right to seek remedies where a person knowingly makes a materially false infringement complaint.
9. If You Believe Material Was Removed in Error
9.1 If content is removed, blocked or restricted following a complaint and you believe this happened in error, you may send a written response to info@smartkits.co.za with:
9.1.1 your contact details;
9.1.2 identification of the affected material;
9.1.3 the grounds on which you say the use is lawful; and
9.1.4 any supporting documents or explanation.
9.2 SmartKits may consider the response but is not obliged to restore content unless satisfied that removal was inappropriate or that the matter is otherwise resolved.
10. Repeat Infringers and Enforcement
10.1 SmartKits may terminate access, cancel orders, revoke licences, refuse future sales, demand deletion of files and pursue damages or interdictory relief against repeat infringers or serious offenders.
10.2 SmartKits may also issue cease-and-desist letters or notify affected third-party platforms, payment providers, service providers or hosts where appropriate and lawful.
