RESALE AND COMMERCIAL REDISTRIBUTION PROHIBITION POLICY

1. Purpose
1.1 SmartKits sells digital business kits, templates, prompts, checklists and related materials for limited licensed use only.
1.2 This Policy makes it clear that customers may not buy SmartKits Products for resale, redistribution, republication or unlawful commercial exploitation.
2. No Resale Rights
2.1 A purchase from SmartKits does not grant reseller rights, distribution rights, white-label rights, sublicensing rights or franchise rights.
2.2 Customers may not buy SmartKits Products:
2.2.1 for onward sale;
2.2.2 for inclusion in another paid or free pack;
2.2.3 for distribution to a community, course, audience, subscriber base or membership group;
2.2.4 for use as a giveaway, bonus, lead magnet or downloadable incentive;
2.2.5 for rebranding and resale under another business name; or
2.2.6 for upload to a marketplace, shared folder, reseller portal or repository.
3. Prohibited Redistribution
3.1 The following conduct is strictly prohibited:
3.1.1 sharing source files by e-mail, cloud drive, file-sharing service, USB, message app or collaboration platform with people outside the licensed business;
3.1.2 uploading packs or source files to Google Drive, Dropbox, OneDrive, Telegram, WhatsApp groups, Facebook groups, Discord servers, course portals or similar shared environments for third-party access;
3.1.3 selling individual files taken from a SmartKits pack;
3.1.4 combining SmartKits files with other files and selling the bundle;
3.1.5 publishing templates or prompt packs extracted from SmartKits on a website, blog, app, marketplace or membership platform; and
3.1.6 distributing modified versions that remain substantially similar to the original SmartKits material.
4. Service Providers and Client Work
4.1 Consultants, virtual assistants, agencies and freelancers may use SmartKits Products as internal working tools to prepare final outputs for clients, subject to the EULA.
4.2 That permission does not allow the service provider to:
4.2.1 hand over editable SmartKits source files to the client;
4.2.2 include SmartKits template files in a client resource vault or handover pack;
4.2.3 present SmartKits files as the service provider’s own template library; or
4.2.4 create a repeat-sale or repeat-download business model from SmartKits materials.
4.3 Only final value-added client outputs may be delivered, not the underlying SmartKits source materials unless SmartKits has given written permission.
5. No Training, Dataset or Platform Use
5.1 Customers may not use SmartKits Products to build:
5.1.1 a public or commercial AI prompt library;
5.1.2 a training dataset, database or software product that reproduces or competes with SmartKits content;
5.1.3 an internal or external template bank for unrelated third parties; or
5.1.4 a course or educational product that gives learners access to SmartKits source files unless SmartKits has expressly licensed that use.
6. Enforcement and Monitoring
6.1 SmartKits reserves the right to investigate suspected infringement, resale or redistribution.
6.2 Where reasonably necessary, SmartKits may:
6.2.1 request information about the use of a Product;
6.2.2 demand removal of infringing listings or shared files;
6.2.3 suspend support or future access;
6.2.4 revoke the customer’s licence;
6.2.5 cancel future sales to the offending party; and
6.2.6 pursue legal remedies, including damages and urgent relief where appropriate.
6.3 SmartKits may notify third-party platforms, payment processors, hosts or service providers of infringement where lawfully justified.
7. Consequences of Breach
7.1 Any breach of this Policy is also a breach of the EULA and Terms and Conditions.
7.2 Upon breach, the customer’s licence may terminate automatically and the customer may be required to stop using and delete the relevant files.
7.3 SmartKits may seek compensation for losses caused by unlawful redistribution or commercial exploitation.
8. Reporting Suspected Unauthorised Resale
8.1 If you become aware of suspected resale, redistribution or unlawful sharing of SmartKits Products, please report it to info@smartkits.co.za with as much detail as possible.
